expenses and any&nbsp;other relevant assumptions.&nbsp;The purpose of such proposals&nbsp;and analyses is to chart the Group\u2019s&nbsp;business for the year ahead and&nbsp;to explain the performance The Manager adopts the principle that the AC shall have at least three members, all of whom must be non-executive and the majority of whom, including the AC Chairman, must be independent.&nbsp;The AC consists of four members, all of whom are independentt, have the&nbsp;relevant accounting, finance and\/&nbsp;or risk management experience,&nbsp;and are appropriately qualified to&nbsp;discharge their responsibilities as&nbsp;AC members.<\/p>\n\n\n\n<p class=\"has-text-color has-link-color wp-elements-53eac2a6cfdf84fd466091f33713f77b wp-block-paragraph\" style=\"color:#333333\">They are:&nbsp;Mr Wu Long Peng, Independent Non-Executive Director and Chairman of AC, Mr Chua Kim Chiu, Independent Non-Executive Director,&nbsp;Mr Mak Keat Meng, Independent Non-Executive Director and&nbsp;Mr Lawrence Wong, Independent Non-Executive Director.&nbsp;<\/p>\n\n\n\n<p class=\"has-text-color has-link-color wp-elements-088d501e62925fb9b4e036165f1a8871 wp-block-paragraph\" style=\"color:#333333\">The AC has written terms of reference setting out its scope and authority, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Examination of interested person transactions<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Review and approval of the scope of internal and external audit plans and activities<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Review of the adequacy, effectiveness, independence, scope and audit findings of internal and external auditors&nbsp;as well as Management\u2019s responses to them and the implementation of remedial actions to address such findings<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Evaluation of the nature and extent of non-audit services performed by external auditors<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Review of the quality and reliability of information prepared for inclusion in financial reports<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Authority to investigate any matters within its terms of reference, full access to and co-operation by Management and full discretion to invite any Director or&nbsp;executive officer to attend its meetings, and reasonable resources to enable it to discharge its functions properly<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Making recommendation to the Board on the appointment and re-appointment of external auditors<\/mark><\/li>\n\n\n\n<li><mark style=\"background-color:rgba(0, 0, 0, 0);color:#333333\" class=\"has-inline-color\">Approval of the remuneration and terms of engagement of external auditors<\/mark><\/li>\n<\/ul>\n<\/div>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-create-block-tab custom-tab-items tab-content\">\n<div class=\"wp-block-group content-wrapper full-width mpact-mobile-basic-container has-global-padding is-layout-constrained wp-container-core-group-is-layout-a386bef4 wp-block-group-is-layout-constrained\" style=\"padding-top:48px;padding-right:100px;padding-left:100px\">\n<p class=\"mt-mobile-h2 has-text-color has-link-color wp-elements-2afc187201301c9158b6e7258a81193f wp-block-paragraph\" style=\"color:#333333;font-size:38px\"><strong>Whistle-blowing<\/strong><\/p>\n\n\n\n<div class=\"wp-block-group is-vertical is-layout-flex wp-container-core-group-is-layout-2c90304e wp-block-group-is-layout-flex\">\n<p class=\"has-text-color has-link-color wp-elements-ed138b97edfaa6112d39834bc9104272 wp-block-paragraph\" style=\"color:#333333\">To reinforce a culture of good business ethics and governance, the Manager has a Whistle-blowing Policy to encourage the reporting, in good faith, of any suspected misconduct or wrongdoing, including possible financial irregularities.&nbsp;Anonymous&nbsp;reporting is allowed, protecting&nbsp;the whistle-blowers from reprisals&nbsp;and detrimental or unfair treatment&nbsp;by, among others, ensuring&nbsp;that the identity of the whistle-blower is kept confidential. Any&nbsp;reporting concerning the Group&nbsp;or the Manager is notified to the&nbsp;AC Chairman of the Sponsor as&nbsp;well as the AC Chairman of the&nbsp;Manager for further investigation.
